Article I: Name
This organization shall be called "Dixon Unified School District Library District Commission", also referred to as the "Dixon Public Library Commission", existing by virtue of the provisions of Part II, Chapter 3, Article 8 of the Education Code and exercising the powers and authority and assuming the responsibilities delegated to it under the said statute and section 18449 of the Education Code.
Article II: Purpose
Commissioners serve to represent Library interests of the citizens of the community by ensuring responsible management of resources to provide free Library services within the Library District area. The Commission shall support the Library's participation in resource sharing and networking on regional, state and national levels. They shall also provide a public forum at the Library Commission meetings for the community to express its views regarding goals and operations of the Dixon Public Library.
Article III: Membership
Section 1. The Commission shall consist of five members of the public appointed by the Governing Board of Library Trustees.
Section 2. All members shall live within the geographic boundaries of the Dixon Unified School District.
Section 3. Commissioners shall be appointed for staggered three-year terms that begin on July 1. Commissioners shall serve no more than two consecutive three-year terms.
Section 4. A Commissioner whose term has expired may serve until the Governing Board of Library Trustees has appointed a replacement.

Article IV: Duties
The commission shall:
Article V: Officers and Elections
Section 1. The officers shall be a President, a Vice-President, and a Secretary, elected by voice vote or ballot from among the appointed Commissioners at the annual meeting of the Commission.
Section 2. Officers shall serve a term of one year from the annual meeting at which they are elected or serve until their successors are duly elected.
Section 3. Officers shall assume their positions at the conclusion of the meeting at which the election is conducted.
Section 4. The President shall preside at all meetings of the Commission, authorize calls for any special meetings, appoint all committees, execute all documents authorized by the Commission, serve as an ex-officio voting member of all committees, and generally perform all duties associated with that office.
Section 5. The Vice-President, in the event of the absence or disability of the President, or of a vacancy in that office, shall assume and perform the duties and functions of the President.
Section 6. . The Secretary shall keep a true and accurate record of all meetings of the Commission noting which members are present or absent. These minutes shall be approved at the next regular Commission meeting.
Section 7. Should the office of Vice-President or Secretary become vacant during a term, the remaining Commissioners shall elect a member to fill the unexpired term.
Section 8. The President may not serve for more than two consecutive terms.
Article VI: Commission Meetings
Section 1. Regular meetings shall be held each month, normally the third Monday of the month, at 6 o'clock in the evening at the Dixon Public Library, unless otherwise changed by appropriate motion or resolution by the Commission.
Section 2. The annual meeting, which shall be for the purpose of the election of officers and other appropriate business, shall be held at the time of the regular meeting in July of each year.
Section 3. If all necessary business cannot be concluded at a regularly scheduled meeting, an adjourned regular meeting may be scheduled. In such an instance, the regular meeting shall be adjourned to a time and place specified before the close of the regular meeting.
Section 4. Seventy-two (72) hours notice shall be given to announce all regular meetings. Notice shall be given in accordance with the Ralph M. Brown Act.
Section 5. Special meetings may be called by the President or a majority of the Commission members or by the District Librarian, providing that notice has been given to all Commissioners and the news media at least twenty-four (24) hours prior to the special meeting.
Section 6. A quorum shall consist of three commissioners being present.
Article VII: Conduct of Business
All meetings shall be conducted in compliance with the Ralph M. Brown Act as follows:
Section 1. No business shall be transacted at any meeting of the Library Commission other than those matters named in the publicly posted agenda.
Section 2. Any Commissioner may request that an item be included on the agenda for Commission consideration. The President, in consultation with the District Librarian, shall set the agenda. The District Librarian shall issue notice by means of an agenda of all regular and special meetings. The agenda shall include a brief description of each item of business to be transacted or discussed at the meeting together with the time and location for the meeting.
Section 3. All meetings shall be called to order by the President, or in the President's absence, by the Vice- President or other officer designated for that purpose by the President.
Section 4. Where not otherwise specified by law, Robert's Rules of Order shall govern proceedings of all meetings.
Section 5. The order of business for regular meetings shall include, but not be limited to, the following items that shall be covered in the sequence shown so far as circumstances will permit:
Section 6. An affirmative vote of the majority of Commissioners present shall be necessary to approve any action before the Commission. The President or any member of the Commission may call for a roll call vote or a qualified ballot vote. Unless such a vote is called for, action may be taken by voice vote.
Section 7. The President shall vote on all matters and shall have equal privileges as a member including the right to surrender the authority of the President to the Vice-President for the purpose of making motions, introducing resolutions or making nominations.
Section 8. Action shall be taken only by a majority vote of the Library Commissioners present.
Section 9: The District Librarian receives direction from the Commission as a whole and not from individual members.
Article VIII: Committees
Section 1. The President shall appoint committees of one or more members for such specific purposes as the Commission may require from time to time. The committee shall be considered to be discharged upon the completion of the purpose for which it was appointed, and after its final report is made to the Commission.
Section 2. All committees shall make a progress report to the Library Commission at each of its meetings.
Section 3. No committees shall have other than advisory powers unless, by suitable action of the Commission, it is granted specific power to act.
Article IX: General
Section 1. The bylaws may be amended by a majority vote of all members of the Commission present provided that written notice of the proposed amendment shall have been provided to all members at least five days prior to the meeting at which time such action is proposed to be taken.
Section 2. Authority rests with a majority decision of the Commission.
